What to bring
Papers to bring
- For each partner: PAN, Aadhaar or another identity proof, address proof and a passport-size photograph
- The DPIN of each designated partner, and the designated partners' digital signatures (DSC) for filing on the MCA portal
- The certificate of incorporation and LLPIN if the LLP is already registered; otherwise the name reserved for it
- Proof of the registered office address (ownership paper or rent agreement and a recent utility bill) and the owner's no-objection if it is rented
- Each partner's contribution and profit share as agreed, and the valuation of any property brought in as contribution
- Two witnesses, each with an identity proof
Where to go
Signed by all the partners before two witnesses, usually on e-Stamp paper of the value the state fixes. It is not usually registered with the Sub-Registrar (ask a lawyer if a partner brings land or a building as contribution); the designated partners file it with the Registrar of Companies online in Form 3.
Fee
The e-Stamp duty follows the state's schedule (in some states it depends on the capital contributed); ask the e-Stamp centre. The MCA filing fee depends on the total contribution and is paid online.
Good to know
- File the signed agreement in Form 3 within 30 days of incorporation, and every change within 30 days of it; late filing costs an additional fee for each day of delay.
- Where the agreement says nothing, the First Schedule to the LLP Act applies; any change must be in writing signed by all the partners.
- Keep the stamped and signed original at the registered office; each partner keeps a copy.
Papers and fees can change. Check with the office before you go. Guidance only, not yet reviewed by a lawyer.
Stamp paper
Deeds and agreements carry stamp duty that depends on the state, the document and its value; some must be registered with the Sub-Registrar. Check the current duty and registration rules before printing on stamp paper.
