What to bring
Papers to bring
- For each shareholder: PAN and identity proof, and the number of shares held (from the share certificates or the register of members)
- The company's certificate of incorporation, memorandum and articles of association, and its CIN and registered office
- The board resolution authorising the director who signs for the company
- Two witnesses, each with an identity proof
Where to go
Signed by every shareholder and by a director for the company, before two witnesses, usually on e-Stamp paper of the value the state fixes for an agreement; it is not registered. The company keeps an original with its statutory records.
Fee
The e-Stamp duty follows the state's schedule for agreements; ask the e-Stamp centre for today's amount. Amending the articles afterwards is filed with the Registrar of Companies, with its own fee.
Good to know
- Limits on transferring shares bind the company and later buyers only once they are written into the articles; pass a special resolution to amend the articles after signing.
- A new shareholder should sign a deed agreeing to be bound by this agreement before the transfer is registered.
- Keep the board and shareholder minutes that approve reserved matters with this agreement.
Papers and fees can change. Check with the office before you go. Guidance only, not yet reviewed by a lawyer.
Stamp paper
Deeds and agreements carry stamp duty that depends on the state, the document and its value; some must be registered with the Sub-Registrar. Check the current duty and registration rules before printing on stamp paper.
